These Terms of Service ("Terms") govern your access to and use of the website located at Vectorwise.ai (the "Website") and any related applications, products, and services operated by Vectorwise LLC ("Vectorwise LLC," "Vectorwise," "we," "our," or "us"). Vectorwise may launch and operate separate projects or brands under distinct names; those projects and brands are owned and controlled by Vectorwise LLC and are covered by these Terms unless stated otherwise.

By accessing or using the Website or our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website or our services.

1. Eligibility and Accounts

You may use our services only if you are at least the age of majority in your place of residence and can form a binding contract, and only if you are not barred from using our services under any applicable law or platform policy (including Meta, Google, or other third-party platforms we integrate with).

Certain features may require you to create an account or sign in via a third-party provider (for example, through OAuth). You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2. Description of Services

Vectorwise LLC provides AI strategy, implementation, software development, and technology consulting services. Vectorwise may also provide brand-specific applications that allow you to, among other things, manage content and, where you expressly authorize it, post content on third-party platforms such as Facebook or Instagram on your behalf.

When you connect a third-party account (for example, a Meta account) you authorize us to access, use, and process information from that account solely as necessary to provide the features you choose to use, in accordance with these Terms, our Privacy Policy, and the applicable third-party platform terms and policies.

3. Acceptable Use

You agree not to use the Website or our services:

  • In any way that violates any applicable local, national, or international law or regulation.
  • To infringe, misappropriate, or violate the rights of Vectorwise LLC, any user, or any third party, including intellectual property, privacy, or publicity rights.
  • To post or facilitate content that is unlawful, misleading, harmful, abusive, harassing, hateful, discriminatory, or otherwise objectionable, or that violates third-party platform policies.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, our services, or related systems.
  • To impersonate or attempt to impersonate Vectorwise LLC, a Vectorwise employee, another user, or any other person or entity.

4. Content, Permissions, and Posting on Your Behalf

Some brand applications may allow you to create, schedule, or publish content to third-party platforms using APIs provided by Meta or other providers. When you enable these features and grant the relevant permissions:

  • You remain responsible for the content created, scheduled, or published via our services, including ensuring that it complies with applicable laws and with the policies of the relevant third-party platform.
  • You grant Vectorwise LLC and the relevant brand application a limited, revocable license to use the permissions you grant (for example, to create or manage posts and read insights) solely to provide and improve the requested features.
  • You may revoke permissions at any time via the third-party platform or the relevant application; revocation may disable or limit some features.

Vectorwise LLC does not claim ownership of your content. However, by submitting or making content available through our services, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as needed to operate and improve the services.

5. Intellectual Property

The Website, our brand applications, and their contents, features, and functionality are owned by Vectorwise LLC, its licensors, or other providers and are protected by applicable intellectual property and proprietary rights laws. Except as expressly permitted in writing, you may not copy, modify, distribute, sell, or lease any part of our services or included software.

6. Third-Party Services and Platforms

Our services may depend on or link to third-party services and platforms, including Meta (Facebook and Instagram), Google, and others. Your use of such services is subject to their separate terms and policies. We do not control and are not responsible for the availability or performance of any third-party service.

Use of Meta or other platform APIs is subject to the applicable platform's developer terms. We use data obtained from such integrations only as described in our Privacy Policy and do not sell personal data received from Meta or other third-party platforms.

7. Disclaimers

The Website and our services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied. To the fullest extent permitted by law, Vectorwise LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Vectorwise LLC and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising out of or in connection with your use of or inability to use the Website or our services.

9. Indemnification

You agree to defend, indemnify, and hold harmless Vectorwise LLC and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or our services.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Changes take effect when posted unless a later effective date is stated. Your continued use of the Website or our services after the updated Terms are posted means that you accept and agree to the changes.

11. Governing Law

All matters relating to the Website, our services, and these Terms, and any dispute or claim arising out of or related to them, are governed by the internal laws of the State of Wyoming, without giving effect to any choice or conflict of law provision or rule.
